<br />any mechanic's lien against the Premises or any improvement thereon or component thereof,
<br />including Equipment, or upon the leasehold interest of the Lessee for improvements to the
<br />Premises.
<br />
<br />5. As of the end of the Lease Term on February ~, 2011, the Lessor is obligated to
<br />sell, and the Lessee is obligated to purchase the Demised Premises for the price specified in the
<br />Lease Agreement. The foregoing notwithstanding, the Lessor may, at any time during the term
<br />of the lease, elect to consummate the sale of the Demised Premises to the Lessee for such price
<br />as of a specified date not less than forty-five (45) days following delivery to the Lessee of notice
<br />of Lessor's election, in which event the Lessee shall purchase the Premises on the specified date.
<br />
<br />6. The Lease Agreement is binding upon and inures to the benefit of the parties' heirs,
<br />executors, administrators, successors and assigns, but with certain limitations upon the right of
<br />assignment.
<br />
<br />7. The Lease Agreement is subject to the provisions of that certain Asset Purchase
<br />Agreement between Larry W. Coffey and Gas 'N Shop, Inc., as Seller, and Casey's Retail
<br />Company, as Purchaser, executed as of January 4, 2006.
<br />
<br />8. The Lease Agreement contains other provisions not mentioned above for reasons of
<br />convenience, which affect the substantive rights of the parties, of which notice is given by this
<br />reference.
<br />
<br />IN WITNESS WHEREOF, the parties have executed this Memorandum of Lease on the
<br />date and year first above written.
