<br />ASSIGNMENT OF PROMISSORY NOTE AND DEED OF TRUST

<br />FOR VALUE RECEIVED, the receipt and sufficiency of which is hereby acknowledged, the
<br />undersigned (collectivciy, "Assignor") hereby assigns to WELLS FARGO BAN:<, NATIONAL
<br />ASSOCIATION ("Bank"), as security pursuant to the terms hereof and of any pledge or security
<br />agreement executed by Assignor in connection with or evidencing the assignment referenced herein, all
<br />right, title and interest of Assignor in and to that certain revolving promissory note dated as of June 13,
<br />2002, executed by GLOBAL INDUSTRIES, INC and payable to Assignor, or order, in the principal amount
<br />of Ten Million Dollars ($10,000,000.00), and that certain term promissory note dated as of June 13,2002,
<br />executed by GLOBAL INDUSTRIES, INC and payable to Assignor, or order, in the principal amount of
<br />Two Million Eight Hundred Fifty Thousand ($2,850,000.00) (the "Notes"), together with all right, title and
<br />interest of Assignor in, to and under that certain Deed of Trust securing the Note, dated as of June 13,
<br />2002, and executed by GLOBAL INDUSTRIES, INC and THE COUNTY OF HALL, NEBRASKA, as
<br />Trustor, to WELLS FARGO CREDIT, INC., as Trustee, for the benefit of Assignor, which Deed of Trust
<br />was recorded on June 21, 2002, as Instrument (Serial) No. 200206623, of the Official Records of Hall
<br />County, Nebraska (the "Deed of Trust"), with respect to the real property described on Exhibit A attached
<br />hereto and incorporated herein by this reference.

<br />In addition to all other obligations, responsibilities and undertakings of Assignor hereunder or under
<br />any above-described pledge or security agreement, Assignor covenants to Bank that Assignor will: (a)
<br />provide to Bank all evidence, including without limitation any policy of title insurance, required by Bank to
<br />verify the representations of Assignor as to the title to the property subject to the Deed of Trust; (b)
<br />ensure, at the direction of Bank, the maintenance of all reasonable and necessary insurance to protect
<br />the property subject to the Deed of Trust against loss by fire, flood or any other hazard of any nature; and
<br />(c) undertake all reasonable and necessary actions. including without limitation compliance with all
<br />requirements imposed by Bank, to ensure that the interest of Bank in the Note and the Deed of Trust
<br />pursuant to this Assignment is not impaired.
