(/) <br /> ......... ;><:; <br /> l> <br /> c...:> -- <br /> w U'l <br /> (f) ~ <br /> MEMORANDUM OF OPTION AGREEMENT <br /> <br /> <br /> <br />200600108 <br />THIS MEMORANDUM OF OPTION AGREEMENT (Memorandum) is entered into by and <br />between Cristo Cordero de Dios Iglesia Evangelica Luterana, a Nebraska nonprofit corporation 1/ (ju <br />(Owner), and The Nebraska District of The Lrtheran Church-Missouri Synod, a Nebraska I U ' <br />nonprofit corporation (Optionee), as of :t-k... ~ ,2005. <br /> <br />RECITALS <br /> <br />WHEREAS, Owner is the owner of the real estate described in Exhibit "A", attached hereto <br />and by this reference specifically incorporated herein, which real estate, together with any <br />improvements now located or later constructed thereon and all rights, privileges and easements <br />appurtenant thereto, is referred to herein as the "Property"; and <br /> <br />WHEREAS, Owner and Optionee have entered into that certain Option Agreement dated <br />April 3, 2005 (Option Agreement), whereby Owner has granted to Optionee an option to purchase <br />the Property from Owner upon and subject to the terms and conditions of the Option Agreement; and <br /> <br />WHEREAS, the parties wish to give notice of the existence ofthe Option Agreement. <br /> <br />NOW, THEREFORE, in consideration of One Dollar ($1.00) and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto <br />hereby agree as follows: <br /> <br />1. Pursuant to the Option Agreement, Owner has granted to Optionee the exclusive <br />option (Option) to purchase the Property from Owner, upon and subject to the terms and conditions <br />contained in the Option Agreement. <br /> <br />2. The term of the Option commences on April 3, 2005 and shall continue until <br />11 :59 p.m. on March 31, 2104. <br /> <br />3. Subject to certain conditions precedent stated in the Option Agreement, Optionee may <br />exercise the Option by giving written notice of such exercise to Owner at any time during the term <br />ofthe Option. Such written notice shall be deemed to have been given during the term ofthe Option <br />if it is received by Owner during the term of the Option or if it is sent to Owner by prepaid <br />United States Certified Mail, return receipt requested, during the term ofthe Option, as evidenced <br />by United States Postal Service postmark or receipt for certified mail. <br /> <br />4. Ifthe Option is not exercised pursuant to the Option Agreement, then the Option shall <br />automatically expire at the end of the period set forth in Section 2 hereof. <br /> <br />5. The terms and conditions ofthe Option Agreement are incorporated by reference into <br />this Memorandum as if such terms were specifically set forth herein.
