<br />KNOW ALL MEN BY THESE PRESENTS that in consideration of one dollar and other good
<br />and valuable consideration, receipt of which is hereby acknowledged, Heritage Bank, does hereby
<br />subordinate that certain Deed of Trust recorded on January 5, 2005 in Instrument No. 200500142
<br />in the office of the Register of Deed of Hall County, Nebraska covering the following described real
<br />estate:

<br />A certain part of the Southwest Quarter of the Northwest Quarter (SWl/4 NWl/4) of Section Three (3), Township
<br />Nine (9) North, Range Nine (9) West of the 6th P.M., Hall County Nebraska, more particularly described as:
<br />Beginning at a point where the North line of the Southwest Quarter (SWl/4) of the Northwest Quarter (NWl/4) of
<br />Section 3, in Township 9 North, Range 9 West of the 6th P.M., intersects with the East right of Way line of the State
<br />and Federal Highway known as 281, which point is 51.75 feet East of the Northwest comer of the Southwest
<br />Quarter (SWl/4) of the Range 9 West of the 6th P.M., running thence East along and upon the North line of the
<br />Southwest Quarter (SWl/4) of the Northwest Quarter (NW1/4) of said Section 3, 272.25 feet, running thence South
<br />parallel to the West line of the Southwest Quarter (SWl/4) of the North west quarter (NWl/4) of said Section 3,
<br />337.0 feet, running thence West parallel to the North line of the Southwest Quarter (SWl/4) of the Northwest
<br />Quarter (NWl/4) of said Section 3, 271.8 feet, to a point on the East Right of Way line of the State and Federal
<br />Highway known as 281, running thence North upon and along the East Right of Way line of State and Federal
<br />Highway known as 281, 337.00 feet to the Actual Point of Beginning.

<br />Deeds of Hall County, Nebraska, in favor of TierOne Bank ("Lender") upon said real estate, which
<br />Todd Richard Russell (collectively "Borrower") has executed, acknowledged and delivered to Lender as
<br />security for a loan obtained by Borrower from Lender, which loan is evidenced by Borrower's
<br />promissory note in the principal sum of$119,800.00.

<br />This Subordination Agreement shall be binding upon Heritage Bank and its successors and
<br />assigns and shall inure to the benefit of Lender, its successors and assigns.
