200510856 <br />Bonds, and any certificate rendered pursuant to this Indenture or the Agreement relating to the <br />Payments or any security for the Building Bonds, as and to the extent that any such certificate may <br />be required under the terms of this Indenture or the Agreement. <br />C. The Insurer shall receive a copy of any information filed with any NRMSIR <br />or the MSRB pursuant to the provisions of Section 5.05 of the Lease Purchase Agreement which <br />constitutes a part of the Agreement. <br />(2) Notices to be sent to the attention of the GENERAL COUNSEL OFFICE: <br />A. The Trustee or the City, as appropriate, shall notify the Insurer of any <br />failure of the Trustee or the City to provide relevant notices and certifications (if any) as required <br />under the terms of this Article XN. <br />B. Notwithstanding any other provision of this Indenture or the Agreement, (a) <br />the City shall immediately notify the Insurer if at any time there are insufficient moneys to make <br />the Payments and therefrom to make the payments of principal and/or interest on the Building <br />Bonds as required and (b) the Trustee shall notify the Insurer of the occurrence of any event of <br />default under the terms of this Indenture. <br />(f) Access for Insurer. The City will permit the Insurer to discuss the affairs, <br />finances and accounts of the City or any information the Insurer may reasonably request regarding <br />the payment or security for the Building Bonds with appropriate officers of the City. The <br />Corporation and the City will permit the Insurer to have access to the Project and to have access to <br />and to make copies of all books and records relating to the Payments or the Building Bonds at any <br />reasonable time. The Trustee will permit the Insurer to have access to and to make copies of all <br />books and records relating to the Building Bonds as may be kept by the Trustee at any reasonable <br />time. <br />Section 14.02 The following provisions relating to service by the Trustee as paying <br />agent and registrar, as required by the Insurer shall apply for purposes of this Indenture: <br />(a) Notwithstanding any other provision of this Indenture to the contrary, in <br />determining whether the rights of the registered owners of the Building Bonds (including <br />Beneficial Owners) will be adversely affected by any action taken pursuant to the terms and <br />provisions of this Indenture, the Trustee shall consider the effect on the registered owners of the <br />Building Bonds (including Beneficial Owners) as if there were no Policy. <br />(b) Notwithstanding any other provision of this Indenture to the contrary, no <br />removal, resignation or termination of the Trustee shall take effect until a successor, acceptable to <br />the Insurer shall be appointed. <br />Section 14.03 As long as the Policy with respect to the Building Bonds shall be in <br />full force and effect, the Corporation, the City (as set forth in the Agreement) and the Trustee agree <br />to comply with the following provisions: <br />32 <br />
