<br />Library Board of Grand Island, Nebraska, ("Grantor") hereby grants a license and easement
<br />o Grand Island Facilities COIporation ("Grantee") with respect to the tract of real estate located in Hall
<br />-County, Nebraska, which is described on Exhibit A hereto attached and incorporated by reference herein,
<br />for the location, construction, acquisition, installation, operation and maintenance of a library building
<br />addition, including improvements, structures, goods which are to become fixtures, fixtures and
<br />equipment, on such tract, all of which property is to be sold by Grantee to the City of Grand Island,
<br />Nebraska, pursuant to a Lease Purchase Agreement dated as of July 12, 2005, as supplemented and
<br />amended by an Addendum to Lease Purchase Agreement dated as of October 1, 2005 (together, the
<br />"Agreement"). Such license and easement shall include full access and use thereof by Grantee and its
<br />licensees and invitees and shall permit all actions necessary or incidental to the construction, acquisition,
<br />installation, operation and maintenance of such library building addition. Such building addition, including
<br />improvements, structures, goods which are to become fixtures, fixtures and equipment upon said real estate,
<br />as fmanced from the proceeds of Grantee's Building Bonds (Library Project), Series 2005, are hereby
<br />acknowledged to be the separate property ofthe Grantee and not part of said real estate, as and to the extent
<br />provided for in the Agreement. Tbis license and easement shall continue until November 15, 2015.

<br />Grantor hereby covenants and warrants that it has full right, title and authority to grant the
<br />license and easement rights herein granted and further covenants and warrants that it will defend such rights
<br />in Grantee against the claims of all persons whomsoever.

<br />Tbis License and Easement is intended to ratify and confmn and hereby ratifies and
<br />confmns any and all grants of easement provided for in the Agreement, whether or not recorded before or
<br />after the recording of this instrument.
