<br />FIXTURE FILING AND FINANCING STATEMENT
<br />Beverly Enterprises - Nebraska, Inc. ( "Grantor "), granted to Fidelity National Title Insurance
<br />Company ( "Trustee ") for the benefit of JPMorgan Chase Bank (formerly known as The Chase
<br />Manhattan Bank, successor -by- merger to Morgan Guaranty Trust Company of New York)
<br />( "Beneficiary ") a lien upon that certain parcel of real property legally described in Exhibit A to the
<br />Deed of Trust (as hereinafter defined), together with all buildings, fixtures, improvements and
<br />appurtenances belonging to such real property (collectively, the "Propert y ") pursuant to the
<br />following documents:
<br />(1) Deed of Trust, Assignment of Leases and Rents, Security Agreement and Fixture Filing
<br />(the "Deed of Trust "), dated as of April 7, 2003 and recorded as Instrument No. 200305038 in the
<br />Register of Deeds office of Hall County, Nebraska; and
<br />(2) UCC -1 Financing Statement, executed by the Grantor, as Debtor, in favor of the
<br />Beneficiary, as Secured Party, recorded as Instrument No. 200305039 in the Register of Deeds
<br />office of Hall County, Nebraska.
<br />All of the indebtedness and obligations secured by the above- referenced documents have
<br />been paid in full, and Beneficiary has requested and directed Trustee in writing as set forth
<br />hereinbelow to execute and deliver this Deed of Reconveyance and Release of Deed of Trust,
<br />Assignment of Leases and Rents, Security Agreement, Fixture Filing and UCC -1 Financing
<br />Statement (this "Deed of Reconveyance")
<br />NOW, THEREFORE, in consideration of the payment in full of the indebtedness and
<br />obligations secured by the above - referenced documents, and in accordance with the request
<br />below of Beneficiary pursuant to the Deed of Trust, Trustee does by these presents, grant,
<br />remise, release and reconvey to the person or persons entitled thereto all the interest and estate in
<br />the Property conveyed to Trustee by and through the Deed of Trust.
