<br />FOR VALUE RECEIVED, the U.S. Bank National Association ( "Assignor ") of 800 Nicollet Mall,
<br />22nd Floor, Minneapolis, Minnesota, 55402 does hereby grant, assign, transfer, convey and set
<br />over, without recourse or warranty, expressed or implied in any event, unto National Loan
