<br />KNOW ALL MEN BY THESE PRESENTS, that for and in consideration of the sum of
<br />Seventy -Five Thousand Dollars ($75,000.00) loaned to the undersigned as evidenced by a
<br />Promissory Note dated August 14, 2003, the terms of which are incorporated herein by this
<br />reference, Ann M Vanosdall aka Ann M Hameloth, hereinafter referred to as "Assignor ",
<br />(whether one or more), hereby assigns, transfers and sets over to UNITED NEBRASKA BANK,
<br />hereinafter referred to as "Assignee ", all of Assignor's right, title and interest in and to a certain
<br />Lease Agreement with a term which commenced October 19, 1990, and any renewals and
<br />extensions thereof, wherein Assignor is leasing the real estate located in Hall County,Nebraska,
<br />legally described as:
<br />LOT TWENTY (20), HAVING A LAKE FRONT FOOTAGE OF ONE
<br />HUNDRED FEET (100') SITUATED ON THE EAST SIDE OF THE EAST
<br />PORTION OF KUESTER LAKE, AND BEING ON A PART OF THE EAST
<br />HALF OF THE SOUTHWEST QUARTER (E1 /2SW1 /4) OF SECTION
<br />THIRTEEN (13), TOWNSHIP ELEVEN (11) NORTH RANGE NINE (9) WEST
<br />OF THE 6TH P.M., IN HALL COUNTY, NEBRASKA.
<br />from Kuester Lake Inc., hereby intending to assign any interest Assignor may have in and to
<br />such leasehold interest.
<br />This Assignment is given as security for the indebtedness mentioned hereinabove and as
<br />security for such other sums as may be advanced in accordance with the Promissory Note, the
<br />Financing Statement and Security Agreement, the Deed of Trust and this Conditional
<br />Assignment, hereinafter referred to as "Loan Documents ". In the event such indebtedness, future
<br />advances, interest and such other sums as may be advanced in accordance with the terms of the
<br />aforementioned Loan Documents are well and truly paid in accordance with the terms therein
<br />contained, then this Assignment shall be void, otherwise to remain in full force and effect.
<br />The undersigned Assignor shall continue to make all payments to be made in accordance
<br />with Assignor's Lease Agreement in respect to the above - described real estate and any renewals
<br />and extensions of that Lease Agreement as they become due. Should at any time a default be
<br />declared in respect to such Lease Agreement, Assignee may, at its option, advance such sums as
<br />may be necessary to cure such default and thereupon enter into possession of Assignor's
<br />leasehold interest. Upon entering into possession of Assignor's leasehold interest, Assignee shall
<br />have the right to use, lease and collect rentals from such leasing as may be permitted by Lessor
<br />in respect to the leasehold interest herein assigned. All expenses incurred by Assignee in taking
<br />possession of the leasehold interest to protect its security interest therein shall be secured by this
<br />Assignment, and any sums so advanced shall earn interest from the date such funds are advanced
<br />at a rate equivalent to that provided in the aforementioned Promissory Note. It is expressly
<br />understood that nothing herein contained shall be construed as a covenant or agreement to pay
