Engleman Road, Grand Island, <br />Nebraska 68803 (jointly referred to as "Seller ") and CARGILL, INCORPORATED, a <br />Delaware corporation, with a principal mailing address of 15407 McGinty Road West, <br />Wayzata, MN 55391 -5624 ( "Cargill). <br />RECITALS <br />A. Seller and Cargill are parties to that certain Option to Purchase Agreement <br />dated May 10, 2005 ( "Option "), wherein the Seller granted to Cargill an option to <br />purchase the real property located in City of Wood River, Jackson Township, Hall <br />County, State of Nebraska and more particularly described on Exhibit A attached hereto <br />(the "Premises "). <br />B. Seller and Cargill wish to memorialize of record the existence of the Option. <br />NOW THEREFORE, in consideration of the Option and other good and valuable <br />consideration, Seller and Cargill agree as follows: <br />1. Seller has granted an option to purchase the premises upon the terms and <br />conditions set forth in the Option. <br />4. The term of the Option shall commence on the date set forth above and will <br />continue for two (2) years thereafter through and including May 10, 2007. <br />4. Nothing in this Memorandum shall be construed to amend, modify, change, <br />alter, amplify, interpret or supersede any of the terms and provisions of the Option to <br />Purchase Agreement, which shall in all things control. <br />5. This Memorandum may be executed in several counterparts, each of whom <br />shall be deemed an original, and all of such counterparts together shall constitute one <br />and the same instrument. <br />1 <br />
