<br />This Memorandum made this 16'hday of 01(,U , 2005, by and between PREMIER TOWERS,
<br />LLC, with a mailing address located at P.O. Box 69, Hixson, Te essee 37343, hereinafter designated LESSOR and
<br />VERIZON WIRELESS MESSAGING SERVICES, LL�VERIZON WIRELESS, with its principal offices
<br />at 180 Washington Valley Road, Bedminster, New Jersey 07921, hereinafter designated LESSEE.
<br />1. LESSOR and LESSEE entered into a Communication Equipment Site Lease on De ember 17, 1998, as
<br />amended by a First Amendment to Communication Equipment Site Lease dated
<br />2005 (as amended, the "Lease ").
<br />2. In consideration of the rental set forth in the Lease, LESSOR has leased or subleased to LESSEE a
<br />portion of that certain property located in Hall County, State of Nebraska, which property is more fully
<br />described in Exhibit "A" attached hereto as page 3 and made a part hereof.
<br />3. The initial term of the Lease will terminate on March 1, 2006, and shall automatically extend for ten
<br />(10) additional one (1) year terms unless terminated by LESSEE as provided in the Lease.
<br />4. A copy of the Lease is on file in the office of the LESSOR and LESSEE.
<br />5. The terms, covenants and provisions of the Lease of which this a Memorandum, shall extend to and be
<br />binding upon the respective executors, administrators, heirs, successors and assigns of LESSOR and
<br />LESSEE.
<br />6. All capitalized terms not otherwise defined herein shall have the same meaning as set forth in the Lease.
<br />7. This Memorandum is prepared for purposed of recordation only and does not set forth all the terms and
<br />conditions set forth in the Lease. The Lease and this Memorandum shall be construed to be but one Lease
<br />and in the event there is any conflict between the terms and conditions of the Lease and this Memorandum,
<br />the Lease shall control.
