200505417 acknowledged, and intending to be legally bound hereby, the parties agree as follows: I . Assignment of Right. Title and Interest. Assignor hereby assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in, to and under the Lease. Nothing contained herein shall be deemed to relieve Assignor of any of its obligations r the Lease with respect to any and all periods, occurrences and matters prior to June ^�, 2005. 2. Assumption of Obligations under Lease. Assignee hereby assumes and agrees to perform and discharge all of the rations and liabilities of Assignor under the Lease arising or accruing from and after June, 2005. 3. Purchase A reernent Nothing herein shall be deemed to modify or diminish the representations, warranties, covenants and obligations of the parties under the Purchase Agreement This Agreement and the liabilities of the parties hereto are subject in all respects to the terms and conditions of the Purchase Agreement. 4. Successors and Assigns. This Agreement, and all rights and powers granted hereby, shall bind and inure to the benefit of the parties hereto and their respective successors and assigns. 5. Definitions. All capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Purchase Agreement. 6. Governing Law. This Assignment shall be governed by and construed in accordance with the laws of the State of Nebraska.
