200214417 PLATTE RIVER/WOOD RIVER ROOST DAHMS TRACT HALL COUNTY, NEBRASKA As Assistant Secretary of The Nature Conservancy, a non - profit corporation existing under and by virtue of the laws of the District of Columbia, I HEREBY CERTIFY that pursuant to a resolution passed by the Board of Governors, the governing body of The Nature Conservancy, at its meeting held on June 7, 2002 the President of The Nature Conservancy is authorized to undertake certain land transactions on behalf of The Nature Conservancy and that pursuant to such resolution authority to undertake such real estate transactions may be delegated to other staff of The Nature Conservancy. 1 FURTHER CERTIFY that due notice of said meeting was given, that a quorum was present, and that said resolution has not been repealed. I FURTHER CERTIFY that this authority to undertake certain land transactions on behalf of The Nature Conservancy has been delegated by appropriate delegations to Vince Shay as Vice President/Nebraska State Director of The Nature Conservancy. I FURTHER CERTIFY that pursuant to said resolution and delegations, Vince Shay did authorize the conveyance of title to corporate property for highway purposes to the State of Nebraska, Department of Roads. I FURTHER CERTIFY that pursuant to said resolution, delegations and project authorization, Leslie Gillette and Diane B. Ray, both Assistant Secretaries of The Nature Conservancy, are authorized to take those actions necessary to implement the above - referenced project including the execution of deeds and other documents necessary to complete that project on behalf of the corporation.
