<br />shareholder of the corporation (Manfuel, Inc) voted to dissolve the corporation effective May 31, 1989, The
<br />Articles of Dissolution were filed April 24, 1990, in the Nebmakn Secretary of State's Office evidencing the
<br />transfer of ranaining property to the sole shareholder (Monfort, Inc)
<br />i. Monfnt,Inc a Delaware corporation, filed a Certificate of Amendment of Certificate of Incorporation dated
<br />August 3, 2000, changing the name to CmtAgra Beef Company, a Delaware corporation, filed with the
<br />Delaware Secretary of Slate on August 10, 2000, and thereafter fined with die Nebraska Secretary of State on
<br />December 20, 2000.
