200206846 RECIPROCAL MUTUAL ACCESS AGREEMENT THIS RECIPROCAL MUTUAL ACCESS AGREEMENT (the "Agreement') is made and entered into as of June 27, 2002, by and between AutoZone Development Corporation, a Nevada corporation, with its principal offices in the City of Memphis, Shelby County, Tennessee ( "AutoZone "), and Carpenter- Redman Real Estate, a Nebraska general partnership ("Carpenter-Redman"). WITNESSETH: WHEREAS, Carpenter- Redman has acquired fee simple title to certain real property located adjacent to the AutoZone Parcel (as defined herein) and situated in the City of Grand Island, Nebraska, said property being more particularly described on Exhibit "1" and shown on Exhibit "1 -A ", attached hereto and made a part hereof (the "Carpenter- Redman Parcel'); and WHEREAS, AutoZone is the owner of certain real property situated in the same city and state with said property being more particularly described on Exhibit "1" and shown on Exhibit "1 -A ", attached hereto and incorporated herein by reference (the "AutoZone Parcel'). The AutoZone Parcel and the Carpenter- Redman Parcel are contiguous; and WHEREAS, each party desires to grant an easement to the other party pursuant to the terms and conditions stated herein: and WHEREAS, the parties enter into this Agreement for the benefit of themselves and no other parties. NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto covenant and agree as follows: ARTICLE I RECIPROCAL MUTUAL ACCESS AGREEMENT 1.01 As used in this Agreement, unless the context clearly otherwise requires, AutoZone and Carpen.(er- Redman shall mean, with respect to each parcel, the record owner(s) from time to time of an. interest in fee simple in all or any part of the AutoZone Parcel or the Carpenter- Redman Parcel whether such owner be one or more persons or entities. AutoZone and Carpenter- Redman are sometimes referred to herein individually as a "Party" and collectively as "Parties ". 1.02 (a) AutoZone hereby grants to and for the use and benefit of Carpenter - Redman and its permittees, successors and assigns, a non - exclusive easement for the ingress and egress of motor vehicles and pedestrians on and through the AutoZone Parcel, which easement is more particularly illustrated on Exhibit "1 -A ", attached hereto and made a part of AZ1656Driveway Easement- Reciproca10627
