200206846 <br />RECIPROCAL MUTUAL ACCESS AGREEMENT <br />THIS RECIPROCAL MUTUAL ACCESS AGREEMENT (the "Agreement') is made and <br />entered into as of June 27, 2002, by and between AutoZone Development Corporation, a <br />Nevada corporation, with its principal offices in the City of Memphis, Shelby County, Tennessee <br />( "AutoZone "), and Carpenter- Redman Real Estate, a Nebraska general partnership <br />("Carpenter-Redman"). <br />WITNESSETH: <br />WHEREAS, Carpenter- Redman has acquired fee simple title to certain real property <br />located adjacent to the AutoZone Parcel (as defined herein) and situated in the City of Grand <br />Island, Nebraska, said property being more particularly described on Exhibit "1" and shown on <br />Exhibit "1 -A ", attached hereto and made a part hereof (the "Carpenter- Redman Parcel'); and <br />WHEREAS, AutoZone is the owner of certain real property situated in the same city and <br />state with said property being more particularly described on Exhibit "1" and shown on <br />Exhibit "1 -A ", attached hereto and incorporated herein by reference (the "AutoZone Parcel'). <br />The AutoZone Parcel and the Carpenter- Redman Parcel are contiguous; and <br />WHEREAS, each party desires to grant an easement to the other party pursuant to the <br />terms and conditions stated herein: and <br />WHEREAS, the parties enter into this Agreement for the benefit of themselves and no <br />other parties. <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements <br />herein contained, and for other good and valuable consideration, the receipt and sufficiency of <br />which are hereby acknowledged, the parties hereto covenant and agree as follows: <br />ARTICLE I <br />RECIPROCAL MUTUAL ACCESS AGREEMENT <br />1.01 As used in this Agreement, unless the context clearly otherwise requires, <br />AutoZone and Carpen.(er- Redman shall mean, with respect to each parcel, the record owner(s) <br />from time to time of an. interest in fee simple in all or any part of the AutoZone Parcel or the <br />Carpenter- Redman Parcel whether such owner be one or more persons or entities. AutoZone <br />and Carpenter- Redman are sometimes referred to herein individually as a "Party" and <br />collectively as "Parties ". <br />1.02 (a) AutoZone hereby grants to and for the use and benefit of Carpenter - <br />Redman and its permittees, successors and assigns, a non - exclusive easement for the ingress <br />and egress of motor vehicles and pedestrians on and through the AutoZone Parcel, which <br />easement is more particularly illustrated on Exhibit "1 -A ", attached hereto and made a part of <br />AZ1656Driveway Easement- Reciproca10627 <br />
