<br />The Bank of New York, as Trustee under the Pooling and Servicing Agreement 
<br />dated as of November 30, 1997, Series 1997 -D, GRANTOR, 
<br />in consideration of ONE DOLLAR ($1.00) AND OTHER VALUABLE CONSIDERATION 
<br />received from GRANTEE, THOMAS W. ZILLER 
<br />conveys to GRANTEE the following described real estate (as defined in Neb. Rev. Stat

<br />Lot One (1), Block Eleven (11), Original Town of 
<br />Grand Island, Hall County, Nebraska. 
<br />GRANTOR covenants (jointly and severally, if more than one) with GRANTEE that 
<br />GRANTOR: 
<br />(1) It is seized and possessed of the said land and has a right to convey it, and warrants 
<br />the title against the lawful claims of all persons claiming by, through and under it, but 
<br />not further otherwise; and 
<br />(2) That the real estate is free from encumbrances, except easements, restrictions, 
<br />reservations, and covenants of record; and 
<br />(3) By accepting this Special Warranty Deed, Grantee acknowledges that he has had 
<br />adequate opportunity to inspect the property conveyed herein as well as all 
<br />improvements located thereon. Except as specifically set forth in this Special 
<br />Warranty Deed this conveyance is made without warranty or representation, either 
<br />expressed or implied and is on an "AS IS" and "WHERE IS" basis.
