200206646 <br />Loan No. 1519 -002 <br />ASSIGNMENT OF LEASEHOLD DEED OF TRUST <br />THIS ASSIGNMENT OF LEASEHOLD DEED OF TRUST (the "Assignment ") <br />is entered into effective as of May 28, 1999 by and between ATHERTON CAPITAL <br />INCORPORATED, a Delaware corporation ( "ACI ") and ATHERTON <br />INTERMEDIATE FUNDING 1999 -A, INC., a Delaware corporation ( "Atherton "). <br />RECITALS <br />A. ACI is the current holder of that certain Leasehold Deed of Trust made by <br />HEARTLAND AUTOMOTIVE SERVICES, INC., a Minnesota corporation <br />(`Borrower") in favor of ACI and originally recorded on January 5, 2001 as Instrument <br />No. 0200100112 in the Official Records of Hall County, Nebraska (the "Official <br />Records ") upon certain real property located in said County and more particularly <br />described in Exhibit A attached hereto and by this reference incorporated herein (the <br />"Property ") together with the promissory note(s) or obligations, security agreement, <br />financing statements and any and all other loan documents described in said leasehold <br />deed of trust (the "Loan Documents ") and the sums due and to become due thereon, with <br />interest as described therein from and after the date of the Leasehold Deed of Trust. <br />B. ACI is the current holder of those certain UCC -1 Financing Statements <br />(the "UCC's ") made upon the Property by Borrower in favor of ACI and originally filed <br />on January 5, 2001 as Instrument Nos. 200100113 and 200100114 in the Official <br />Records. <br />C. ACI and Atherton desire to assign all Loan Documents relating to the <br />Property to BANKERS TRUST COMPANY, as Certificate Trustee of the Atherton <br />Intermediate Funding 1999 -A Grantor Trust ( "Bankers Trust "). <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the mutual covenants contain herein <br />and other good and valuable consider, a receipt of which is hereby acknowledge, the <br />parties agree as follows: <br />Loan No. 1519 -002 <br />Store No. 29 <br />
