200206646 Loan No. 1519 -002 ASSIGNMENT OF LEASEHOLD DEED OF TRUST THIS ASSIGNMENT OF LEASEHOLD DEED OF TRUST (the "Assignment ") is entered into effective as of May 28, 1999 by and between ATHERTON CAPITAL INCORPORATED, a Delaware corporation ( "ACI ") and ATHERTON INTERMEDIATE FUNDING 1999 -A, INC., a Delaware corporation ( "Atherton "). RECITALS A. ACI is the current holder of that certain Leasehold Deed of Trust made by HEARTLAND AUTOMOTIVE SERVICES, INC., a Minnesota corporation (`Borrower") in favor of ACI and originally recorded on January 5, 2001 as Instrument No. 0200100112 in the Official Records of Hall County, Nebraska (the "Official Records ") upon certain real property located in said County and more particularly described in Exhibit A attached hereto and by this reference incorporated herein (the "Property ") together with the promissory note(s) or obligations, security agreement, financing statements and any and all other loan documents described in said leasehold deed of trust (the "Loan Documents ") and the sums due and to become due thereon, with interest as described therein from and after the date of the Leasehold Deed of Trust. B. ACI is the current holder of those certain UCC -1 Financing Statements (the "UCC's ") made upon the Property by Borrower in favor of ACI and originally filed on January 5, 2001 as Instrument Nos. 200100113 and 200100114 in the Official Records. C. ACI and Atherton desire to assign all Loan Documents relating to the Property to BANKERS TRUST COMPANY, as Certificate Trustee of the Atherton Intermediate Funding 1999 -A Grantor Trust ( "Bankers Trust ").
