<br />That DLJ Mortgage Capital, Inc , a corporation organized and existing under the laws of the late of Delaware, as
<br />Owner (the "Owner ") under various purchase and sale agreements constitutes and appoints Olympus Servicing,
<br />L P, having its office located at 9600 Great Hills Trail, Austin, Texas 78759 ( "Olympus "), organized and existing
<br />under the laws of the State of Delaware, its true and lawful Attomey -in -Fact with only such power and authority as
<br />is expressly enumerated and hereby conferred in its name, place and stead and for its use and benefit, to make, sign,
<br />execute, acknowledge, deliver, file for record and record any such instruments on its behalf and to perform such
<br />other act or acts as may be customarily and reasonably necessary and appropriate to effectuate the following
<br />enumerated transactions in respect of any of the mortgages or deeds of trust (the "Mortgages") and promissory
<br />notes secured thereby (the "Mortgage Notes ") for which Olympus is acting as Servicer (whether the undersigned is
<br />named therein as mortgagee or beneficiary or has become mortgagee by virtue of endorsement of the mortgage note
<br />secured by any such mortgage or deed of trust)
<br />This appointment shall apply to the following transactions only
<br />1 The modification or re- recording of a Mortgage at the written request of Owner or the title company that
<br />insured the Mortgage, where said modification or re-recording is solely for the purpose of correcting the
<br />Mortgage to conform to the original intent of the parties thereto or to correct title errors discovered after
<br />such title insurance was issued and said modification or re -recording, in either instance, does not adversely
<br />affect the lien of the Mortgage as insured,
<br />2 The subordination of the lien of a Mortgage to an easement in favor of a public utility company or a
<br />governmental agency or unit with powers of eminent domain This section shall not extend to the
<br />execution of partial satisfactionstreleases, partial reconveyance or execution of requests to Owners to
<br />accomplish same,
<br />3 With respect to a Mortgage, the foreclosure, the taking of a deed in lieu of foreclosure, or the
<br />commencement and completion of Judicial or non - Judicial foreclosure proceedings, cancellation or
<br />rescission of same, including, without limitation, any of the following acts
<br />a The substitution of trustee(s) serving under a deed of trust in accordance with applicable law and
<br />the deed of trust,
<br />b Statements of breach or non- performance,
<br />c Notices of default,
<br />d Cancellations/rescissions of notices of default and/or notices of sale,
<br />e The taking of a deed in lieu of foreclosure, and
<br />E Such other documents and actions as may be necessary under the terms of the mortgage, deed of
<br />trust or state law to expeditiously complete said transactions,
<br />provided, however, that the authority to enter into on behalf of the Owner, any Judgement, settlement or
<br />decree for a certain sum payable by us is expressly reserved by us and is not delegated by this Limited
<br />Power of Attomey
<br />4 Filing proofs of claim and pleadings and similar instruments as may be usual and customary in connection
<br />with Judicial proceedings to enforce, perfect or protect the interest of Owner in the mortgage loans,
<br />5 The full satisfaction /release of a Mortgage (or assignment of mortgage without recourse) or requests to the
<br />Owner for a full reconveyance upon payment Udad1p&Wge of all sums secured thereby, this section shall
