200205522 <br />(ii) Any provider of medical services may rely conclusively <br />upon any and all decisions, consents, withdrawals of consent and <br />directions made by my attorney -in -fact under the authority <br />contained in this document. In consideration of the medical <br />provider's reliance upon the actions of my attorney -in -fact, I <br />hereby contract to defend, indemnify and save harmless any <br />medical provider who does so rely of and from any and all claims, <br />demands, suits and causes of action which arise from that <br />provider's acts or failures to act as a result of that reliance <br />and brought by me or on my behalf or by any person claiming by, <br />through or under me or as a result of my death. This contract is <br />and shall be fully binding upon my heirs, personal <br />representatives and my estate. <br />DURATION OF POWERS <br />This is a Present Durable Power of Attorney which becomes <br />fully operative at the time of its execution and delivery to my <br />Agent and remains operative until revoked. <br />CONTINGENT POWERS <br />If Maynard Schimmer, who I have named as my Agent in the <br />above and foregoing Power of Attorney, either (i) resigns as my <br />Agent or (ii) by reason of physical or mental incapacity becomes <br />unable to carry on as my Agent, then I do hereby appoint my son, <br />Leslie Schimmer as my Successor Agent. <br />with regard to this appointment of my Successor Agent I do <br />hereby direct that this shall constitute a contingent durable <br />power of attorney as defined in Nebraska Statute 49 -1511, that my <br />Successor Agent shall have all power and authority granted herein <br />to my original Agent, that my Successor Agent may conclusively <br />establish the occurrence of either contingency (i) or (ii) stated <br />above by affidavit, and that any and all persons dealing in good <br />faith with my Successor Agent may rely upon such affidavit as <br />conclusive evidence that one of the contingencies has occurred <br />and my Successor Agent then has the full power and authority to <br />act for me and on my behalf to the same force and effect as if my <br />Successor Agent had been appointed herein as my original Agent. <br />Executed at Grand Island, Hall County, Nebraska, this <br />day of May, 1997. , <br />T <br />Elsie Schimmer <br />
