GIAET #2, L.L.C., a limited liability company organized and
<br />existing under the laws of the State of Nebraska, GRANTOR,
<br />pursuant to the terms and conditions of a certain Real Property
<br />Exchange Agreement between Grantor and Grantee dated April 6,
<br />2001 conveys to GRANTEE, BIG B, INC., a Nebraska corporation, the
<br />following described real estate (as defined in NEB. REV. STAT.
<br />76 -201):
<br />A tract of land comprising a part of the Southeast Quarter
<br />(SE'k) of Section Six (6), Township Eleven (11) North, Range
<br />Ten (10) West of the Sixth Principal Meridian, containing
<br />99.728 acres, more or less, and being more particularly
<br />shown and described on Exhibit "A ", which is attached hereto
<br />and made a part hereof.
<br />GRANTOR covenants (jointly and severally, if more than one)
<br />with GRANTEE that GRANTOR:
<br />(1) is lawfully seized of such real estate subject to liens
<br />and encumbrances of record;
<br />(2) has legal power and lawful authority to convey the
<br />same; and
<br />(3) warrants and will defend title to the real estate
<br />against the lawful claims of all persons claiming the same or any
<br />part hereof through, by or under Grantor, excepting as to liens
<br />and encumbrances of record.
<br />The conveyance of the aforedescribed real estate herein is sub-
<br />ject to all liens and encumbrances of record filed against the
<br />subject real estate, which by separate agreement Grantee has
<br />agreed to assume and be fully liable for the payment thereof.
