<br />KNOW ALL MEN BY THESE PRESENTS:

<br />That J. I. L. ASPHALT PAVING CO., a corporation, organized
<br />and existing under and by virtue of the laws of the State of
<br />Nebraska, hereinafter known as the Grantor, for and in
<br />consideration of the sum of SEVEN THOUSAND NINE HUNDRED FORTY -
<br />FOUR AND N01100 DOLLARS ($7,944.00) in hand paid does hereby
<br />grant and convey unto CENTRAL PLATTE NATURAL RESOURCES DISTRICT,
<br />hereinafter known as the Grantee, and to its successors and
<br />assigns, a perpetual and assignable right and easement in the
<br />land described below, for the perpetual right, power, privilege
<br />and easement occasionally to overflow, flood and submerge the
<br />real estate described upon Exhibit A, which is attached hereto
<br />and made a part hereof by this reference, in connection with the
<br />operation and maintenance of the above mentioned project,
<br />provided that no structures for human habitation shall be
<br />constructed or maintained on the land, that no other structures
<br />constructed or maintained on the land except as may be approved
<br />in writing by the representative of the Grantee in charge of the
<br />above mentioned project; and
<br />reserving, however, to the Grantor, its successors and assigns,
<br />all such rights and privileges as may be used and enjoyed without
<br />interfering with the use of the project for the purposes
<br />authorized by the Grantee or abridging the rights and easement
<br />hereby acquired, including, without limitation, excavation for
<br />the purpose of quarrying sand, gravel, dirt and other materials,
<br />shall be permitted, subject only to approval as to the placement
<br />of overburden, if any, is to be permanently placed on the
<br />described land in connection with such excavation; and
