This Memorandum of Assignment ( "Memorandum ") is entered into on this 29th day of August,
<br />2001, by and between Trinity Wireless Towers, Inc., a Texas corporation, with an office at 2201 W.
<br />Royal Lane, Suite 210, Irving, Texas 75063 ( "Assignee ") and iPCS Wireless, Inc., a Delaware
<br />corporation ( "Assignor "), with an office at 1900 E. Golf Road, Suite 900, Schaumburg, IL 60173.
<br />1. Assignor entered into a Ground Lease Agreement ( "Agreement ") with Johnson Cash -
<br />Way Lumber Company of Grand Island, Nebraska, a Nebraska Corporation, on the 25th day of April,
<br />2001, for the purpose of installing, operating and maintaining a radio communications facility and other
<br />improvements. All of the foregoing are set forth in the Agreement. A Memorandum of Lease with regard
<br />to the Agreement was filed of record in Hall County, Nebraska.
<br />2. Assignor assigned, and Assignee accepted, all of Assignor's right, title, and interest to the
<br />Agreement on the 29th day of August, 2001.
<br />3. The Land which is the subject of the Agreement is legally described in Schedule A
<br />annexed hereto.
<br />IN WITNESS WHEREOF, the parties have executed this Memorandum of Assignment as of the
