<br />THIS SUBORDINATION AGREEMENT (this "Agreement ") is made this 27 day of January, 2003,
<br />between First Magnus Financial Corp. successors and /or assigns, (Lender) and UNITED NEBRASKA BANK, a
<br />national banking association with offices at 700 n. Webb Road, Grand Island, NE 68803
<br />LOT 14, IN R & B SUBDIVISION, IN THE CITY OF GRAND ISLAND, HALL COUNTY,
<br />NEBRASKA.
<br />UNITED NEBRASKA BANK, and for valuable consideration, receipt of which is hereby acknowledged,
<br />UNITED NEBRASKA BANK hereby subordinates its interest in the above - described real estate evidenced by a
<br />Lien from ROGER F. DOUD AND SHELLY M. DOUD, Husband and Wife to UNITED NEBRASKA BANK C, in
<br />the amount of $5,000.50, February 7, 2001 recorded February 20, 2001 as Document No. 2001101212 in the records
<br />of the Register of Deeds, Hall County, Nebraska, to that DEED OF TRUST from ROGER F. DOUD AND SHELLY
<br />M. DOUD to First American Title Insurance Company, Trustee and FIRST MAGNUS FINANCIAL
<br />CORPOATION, Beneficiary in the amount of $91,000.00 dated January 21, 2003 and recorded January 29, 2003 as
<br />Document No.2003 -01137 in the records of the Register of Deeds, Buffalo County, Nebraska.
<br />The undersigned hereto agrees that the interest of UNITED NEBRASKA BANK, as described above is
<br />hereby made junior, inferior and subject to the interest of FIRST MAGNUS FINANCIAL CORPORATION as
<br />described above.
