<br />This Financing Statement is filed for precautionary purposes only in connection with a Lease
<br />Agreement between Secured Party and Debtor, dated as of May 18, 1998 (the "Lease
<br />Agreement"). The filing of this Financing Statement with respect to the collateral described
<br />herein is not to be construed as a factor in determining whether or not the Lease Agreement is
<br />intended to create a security interest in such collateral within the meaning of the Uniform
<br />Commercial Ciyie.
<br />The collateral covered by this financing statement shall include the Equipment (as defined in the
<br />Lease Agreement), comprised of one Alvey Integrated Business Solutions fully automated
<br />computerized box handling system used in the warehousing and distribution of processed beef,
<br />consisting of conveyors, carousels, sorters, related computer equipment and software and other
<br />related equipment more fully described in the Alvey Integrated Business Solutions Material
<br />Handling System proposal 9537 - 035 -104- Revision 4.1 with System Requirements Document
<br />A293- 0006SRD dated October 24, 1997, together with all other facilities, fixtures, machinery,
<br />apparatus, installations, equipment and other property, including, without limitation, heating,
<br />ventilating, air conditioning, plumbing, and electrical equipment, lighting and lighting
<br />equipment, elevators and escalators, security systems, utility lines, refuse facilities, waste
<br />removal systems, generators, transformers, cooling towers, maintenance depots, power plants,
<br />storage tanks, fire pumps, fire control, sprinkler and stand pipe systems, emergency power and
<br />automatic transfer switches, air conditioning units, building and site controls, sewerage facilities,
<br />and all associated piping, wiring, conduits, feeders, tracks, plumbing, and drainage facilities now
