<br />supplements, consolidations, replacements, restatements, extensions, renewals
<br />and other modifications of any thereof.
<br />Rents, Issues and Profits. All estate, right, title and interest of the Debtor in, to,
<br />under or derived from all rents, royalties, issues, profits, receipts, revenue, income
<br />and other benefits now or hereafter accruing with respect to the Property,
<br />including all rents and other sums now or hereafter payable pursuant to the
<br />Leases; all other sums now or hereafter payable with respect to the use,
<br />occupancy, management, operation or control of the Property, excluding
<br />Medicaid, Medicare or other patient account receivables sold, or in which a
<br />security interest is granted by the Borrower and its Subsidiaries pursuant to a
<br />Receivables Financing Program; and all other claims, rights and remedies now or
<br />hereafter belonging or accruing with respect to the Property, including fixed,
<br />additional and percentage rents, occupancy charges, security deposits, parking,
<br />maintenance, common area, tax, insurance, utility and service charges and
<br />contributions (whether collected under the Leases or otherwise), proceeds of sale
<br />of electricity, gas, heating, air- conditioning and other utilities and services
<br />(whether collected under the Leases or otherwise), oil, gas and mineral royalties
<br />and deficiency rents and liquidated damages following default or cancellation.
<br />Permits. All estate, right, title and interest of the Debtor in, to, under or derived
<br />from all licenses, authorizations, certificates, variances, consents, approvals and
<br />other permits now or hereafter appertaining to the Property.
<br />Deposits. All estate, right, title and interest of the Debtor in, to, under or derived
<br />from all amounts deposited with the Secured Party under the Pledge Agreement,
<br />including all Insurance Proceeds and Awards, and including all notes, certificates
<br />of deposit, securities and other investments relating thereto and all interest,
<br />dividends and other income thereon, proceeds thereof and rights relating thereto.
<br />Proceeds and Awards. All estate, right, title and interest of the Debtor in, to,
<br />under or derived from all proceeds of any sale, transfer, financing, refinancing or
<br />conversion into cash or liquidated claims, whether voluntary or involuntary, of
<br />any of the Collateral, including all Insurance Proceeds, Awards and title insurance
<br />proceeds under any title insurance policy now or hereafter held by the Debtor, and
<br />all rights, dividends and other claims of any kind whatsoever (including damage,
<br />secured, unsecured, priority and bankruptcy claims) now or hereafter relating to
<br />any of the Collateral.
<br />Contracts for ,Sale. All estate, right, title and interest of the Debtor as seller in, to
<br />or under any agreement, contract, understanding or arrangement pursuant to
<br />which the Debtor has obtained the agreement of any Person to purchase any of the
<br />Collateral or any interest therein and all income, profits, benefits, avails,
<br />advantages and claims against any guarantors under any thereof.
