200305038 Section 6.06. Amendments In Writing. No amendment, waiver or supplement in any way affecting the Grantor's obligations or the Beneficiary's rights under this Deed of Trust shall in any event be effective unless contained in a writing signed by the Beneficiary. Section 6.07. Governing Law; Construction. THIS DEED OF TRUST SHALL BE CONSTRUED IN ACCORDANCE WITH, AND GOVERNED BY, THE LAWS OF THE STATE WHERE THE LAND IS LOCATED. WHENEVER POSSIBLE EACH PROVISION OF THIS DEED OF TRUST SHALL BE INTERPRETED IN SUCH MANNER AS TO BE EFFECTIVE AND VALID UNDER APPLICABLE LAW, BUT IF ANY PROVISION OF THIS DEED OF TRUST SHALL BE PROHIBITED BY OR INVALID UNDER APPLICABLE LAW, SUCH PROVISION SHALL BE INEFFECTIVE TO THE EXTENT OF SUCH PROHIBITION OR INVALIDITY, WITHOUT INVALIDATING THE REMAINDER OF SUCH PROVISION OR THE REMAINING PROVISIONS OF THIS DEED OF TRUST. Section 6.08. Successors And Assigns. The covenants and agreements of the Grantor hereunder, and the provisions hereof affecting the Grantor, shall bind the Grantor hereunder, its successors and assigns and all Persons claiming by, through or under the Grantor and shall inure to the benefit of the Grantor and its successors and permitted assigns. The rights and privileges of the Beneficiary hereunder, and the provisions hereof affecting the Beneficiary, shall inure to the benefit of and bind the Beneficiary hereunder, the Secured Parties and their respective successors and assigns. Section 6.09. Waiver. The Grantor waives, on behalf of itself and all Persons now or hereafter interested in the Property or the other Trust Property, to the fullest extent permitted by applicable law, (i) all rights under all appraisement, homestead, moratorium, valuation, exemption, stay, extension, redemption, single action, election of remedies and marshaling statutes, laws or equities now or hereafter existing and (ii) any and all requirements that at any time any action may be taken against any other Person and the Grantor agrees that no defense based on any thereof will be asserted in any action enforcing this Deed of Trust. Section 6.10. No Redemption. The Grantor hereby waives, to the fullest extent permitted by applicable law, any and all rights of redemption from sale under any order or decree of foreclosure of this Deed of Trust or under any power contained herein on its own behalf and on behalf of each and every Person acquiring any interest in or title to the Property subsequent to the date of this Deed of Trust. Section 6.11. Limitation By Law. All rights, remedies and powers provided in this Deed of Trust may be exercised only to the extent that the exercise thereof does not violate any applicable provision of law, and all the provisions of this Deed of Trust are intended to be subject to all applicable mandatory provisions of law which may be controlling and to be limited to the 37 (NY) 04675 / 120 /REAUNEBRASKA/form.dot.NE.doc
