200305038 <br />Section 6.06. Amendments In Writing. No amendment, waiver or <br />supplement in any way affecting the Grantor's obligations or the Beneficiary's <br />rights under this Deed of Trust shall in any event be effective unless contained in <br />a writing signed by the Beneficiary. <br />Section 6.07. Governing Law; Construction. THIS DEED OF TRUST <br />SHALL BE CONSTRUED IN ACCORDANCE WITH, AND GOVERNED BY, <br />THE LAWS OF THE STATE WHERE THE LAND IS LOCATED. <br />WHENEVER POSSIBLE EACH PROVISION OF THIS DEED OF TRUST <br />SHALL BE INTERPRETED IN SUCH MANNER AS TO BE EFFECTIVE <br />AND VALID UNDER APPLICABLE LAW, BUT IF ANY PROVISION OF <br />THIS DEED OF TRUST SHALL BE PROHIBITED BY OR INVALID UNDER <br />APPLICABLE LAW, SUCH PROVISION SHALL BE INEFFECTIVE TO THE <br />EXTENT OF SUCH PROHIBITION OR INVALIDITY, WITHOUT <br />INVALIDATING THE REMAINDER OF SUCH PROVISION OR THE <br />REMAINING PROVISIONS OF THIS DEED OF TRUST. <br />Section 6.08. Successors And Assigns. The covenants and agreements of <br />the Grantor hereunder, and the provisions hereof affecting the Grantor, shall bind <br />the Grantor hereunder, its successors and assigns and all Persons claiming by, <br />through or under the Grantor and shall inure to the benefit of the Grantor and its <br />successors and permitted assigns. The rights and privileges of the Beneficiary <br />hereunder, and the provisions hereof affecting the Beneficiary, shall inure to the <br />benefit of and bind the Beneficiary hereunder, the Secured Parties and their <br />respective successors and assigns. <br />Section 6.09. Waiver. The Grantor waives, on behalf of itself and all <br />Persons now or hereafter interested in the Property or the other Trust Property, to <br />the fullest extent permitted by applicable law, (i) all rights under all appraisement, <br />homestead, moratorium, valuation, exemption, stay, extension, redemption, single <br />action, election of remedies and marshaling statutes, laws or equities now or <br />hereafter existing and (ii) any and all requirements that at any time any action <br />may be taken against any other Person and the Grantor agrees that no defense <br />based on any thereof will be asserted in any action enforcing this Deed of Trust. <br />Section 6.10. No Redemption. The Grantor hereby waives, to the fullest <br />extent permitted by applicable law, any and all rights of redemption from sale <br />under any order or decree of foreclosure of this Deed of Trust or under any power <br />contained herein on its own behalf and on behalf of each and every Person <br />acquiring any interest in or title to the Property subsequent to the date of this <br />Deed of Trust. <br />Section 6.11. Limitation By Law. All rights, remedies and powers <br />provided in this Deed of Trust may be exercised only to the extent that the <br />exercise thereof does not violate any applicable provision of law, and all the <br />provisions of this Deed of Trust are intended to be subject to all applicable <br />mandatory provisions of law which may be controlling and to be limited to the <br />37 <br />(NY) 04675 / 120 /REAUNEBRASKA/form.dot.NE.doc <br />
