<br />This Termination of Prior Regulatory Agreements is entered into this I +h of
<br />Qr ' , 2003, by and between French Village, L.P., a Nebraska limited partnership, (the
<br />"Owner ") and the Secretary of Housing and Urban Development (the "Secretary").
<br />Whereas, the Secretary and the Owner previously entered into a certain Regulatory
<br />Agreement dated February 8, 1968 (the "Prior Regulatory Agreement "), pertaining to that certain
<br />FHA - insured mortgage loan in the original principal amount of $ 563,000.00 (the "Mortgage
<br />Loan "), which Prior Regulatory Agreement was recorded on February 8, 1968, among the Real
<br />Property Records of Hall County, Nebraska, in Book 17 at page 145 with respect to the property
<br />legally described in Exhibit "A" attached Hereto; and
<br />Whereas, the Secretary and the Owner previously entered into a certain Regulatory
<br />Agreement dated October 12, 1970 (the "Prior Regulatory Agreement "), pertaining to that certain
<br />FHA - insured mortgage loan in the original principal amount of $ 563,000.00 (the "Mortgage
<br />Loan "), which Prior Regulatory Agreement was recorded on December 8, 1970, among the Real
<br />Property Records of Hall County, Nebraska, in Book 21 at page 220 with respect to the property
<br />legally described in Exhibit "A" attached Hereto; and
<br />Whereas, the Secretary and the Owner previously entered into a certain Regulatory
<br />Agreement dated June 30, 2000 (the "Prior Regulatory Agreement "), pertaining to that certain
<br />FHA - insured mortgage loan in the original principal amount of $ 563,000.00 (the "Mortgage
<br />Loan"), which Prior Regulatory Agreement was recorded on August 3, 2000, among the Real
<br />Property Records of Hall County, Nebraska, as Instrument Number 200006301, and re- recorded
<br />on August 31, 2000 as Instrument Number 200008000, with respect to the property legally
<br />described in Exhibit "A" attached Hereto; and
<br />Whereas, contemporaneously herewith the Owner is prepaying the Mortgage Loan in full
<br />and in connection therewith the parties desire to terminate the Prior Regulatory Agreement.
<br />Now, therefore, in consideration of the premises and other good and valuable
<br />considerations, the receipt and sufficiency of which is hereby acknowledged, the parties agree that
<br />the Prior Regulatory Agreement is hereby terminated; provided, however, that nothing herein
<br />contained shall in any manner alter, waive, annul, vary compromise, impair, prejudice or affect any
<br />right the Secretary may have to seek judicial recourse for any breach of the Prior Regulatory
<br />Agreement that may have occurred prior to the date hereof.

<br />hereinabove first written.
