WHEREAS, Home Federal Savings and Loan Association of Grand Island
<br />( "Home Federal") is the Beneficiary and holder of a Deed of Trust executed by Billie J. Hait
<br />and Michael A. Haith, wife and husband, (hereinafter called the 'Borrower ") dated February 22,
<br />2001, and recorded March 2, 2001, as Instrument No. 2001 -01600 of the records of Hall County,
<br />Nebraska, covering the following described real estate, to -wit:
<br />Lot 6, Block 2, Roush Subdivision to the City of Grand Island, Hall County,
<br />Nebraska (the "Subject Real Estate ").
<br />WHEREAS, Borrowers desire to obtain a loan in the amount of $72,000.00 from
<br />Equitable Mortgage Corporation ( "Equitable ") but Lender requires that such loan be secured by a
<br />Deed of Trust that will be prior to the Deed of Trust in favor of Home Federal.
<br />WHEREAS, Borrower and Equitable have requested that the said Deed of Trust
<br />of Equitable be paramount and superior to the lien of Home Federal in the Subject Real Estate.
<br />NOW, THEREFORE, in consideration of One Dollar ($1.00) and other valuable
<br />consideration to Home Federal, the receipt whereof is hereby acknowledged, Home Federal does
<br />hereby waive the priority of its Deed of Trust as described above and any other security it may
<br />have in the subject real estate and agrees that said Equitable Deed of Trust shall be superior to
<br />said Home Federal Deed of Trust and Home Federal agrees that its Deed of Trust executed and
<br />recorded prior in time to said Equitable Deed of Trust shall be subject, junior, and subordinate to
<br />the Deed of Trust of Equitable.
<br />Provided, however, that nothing herein contained shall operate in any way to
<br />release or affect the validity of the Home Federal security instruments as liens upon the Subject
<br />Real Estate or to otherwise affect the priority of said Home Federal lien except as herein
<br />provided.

<br />This Agreement shall be binding upon the undersigned and its successors and
