KNOW ALL MEN BY THESE PRESENTS:
<br />Paul J. LaPuzza, Successor Trustee, hereinafter referred to as
<br />Grantor, as Successor Trustee under the Trust Deed hereinafter
<br />described, hereby grants and conveys to KEY BANK USA, N.A., herein 3a
<br />referred to as Grantee, without any covenant or warranty expressed
<br />or implied, all of the following described real estate, to -wit:

<br />COUNTY, NEBRASKA.
<br />SUBJECT TO RESTRICTIONS, RESERVATIONS, EASEMENTS,
<br />COVENANTS, OIL, GAS OR MINERAL RIGHTS OF RECORD, IF ANY.
<br />this conveyance is made pursuant to the powers conferred on Grantor
<br />by that Trust Deed dated the 5th day of July, 2001, and recorded in
<br />the office of the Register of Deeds of Hall County, Nebraska on the
<br />19th day of July, 2001 as Instrument No. 0200107095 of the mortgage
<br />records of said county, which Deed of Trust was assigned to Key
<br />Bank USA, N.A., between Sherry L. Juett, as Trustor, Rick
<br />Damkroger, Trustee and Conseco Finance Servicing Corp., as
<br />Beneficiary, wherein the Trustors granted and conveyed to such
<br />Trustee, on the Trusts therein expressed, the property hereinabove
<br />described to secure, among other obligations, the payment of a
<br />certain note and interest described in said Trust Deed according to
<br />the terms thereof and after the fulfillment of the conditions
<br />specified in the Trust Deed authorizing this conveyance by reason
<br />of a breach and default by the Trustors made under the terms of
<br />said Trust Deed in the particulars set forth in the Notice of
<br />Default filed by the Successor Trustee, which default continued
