<br />ASSIGNMENT OF DEED OF TRUST
<br />Effective as of March 6, 2003 and FOR VALUE RECEIVED, the receipt and sufficiency of
<br />which are hereby acknowledged, the undersigned, the beneficiary or the successor to the
<br />beneficiary named below, hereby absolutely sells, delivers, sets over, grants, conveys, assigns
<br />and transfers, without recourse, representation or warranty, except as set forth in that certain
<br />Note Purchase Agreement dated as of March 6, 2003 (the "Purchase Agreement ") by and
<br />between Ag Capital Company, a Delaware corporation ( "Seller "), and Metropolitan Life
<br />Insurance Company, a New York corporation ( "Purchaser "), all its right, title and interest in and
<br />to that certain Deed of Trust executed by Robert M. Gonderinger, Attorney at Law "(Trustee ") in
<br />favor of Ag Capital Company as original beneficiary, and recorded on February 16, 1996 as
<br />Document No. 96- 101144, Registrar of Deeds Office, Hall County, Nebraska as amended by that
<br />certain First Amendment to Deed of Trust of even dated herewith and as may be further amended
<br />from time to time (the "Deed of Trust ") relating to certain real property located in the County of
<br />Hall, State of Nebraska and more fully described on Exhibit A attached hereto and made a part
<br />hereof.
<br />TOGETHER WITH all right, title and interest in and to the note (the "Note ") dated
<br />February 1, 1996, as amended by that certain Amended and Restated Note #20132 dated as of
<br />March 6, 2003, and the other obligations secured thereby, the money due and to become due
<br />thereon, and all rights accrued or to accrue thereunder.
<br />TOGETHER WITH all rights, remedies, collateral instruments or other documents in and
<br />or granted in favor of the undersigned or its predecessors in interest in connection with the loan
<br />secured by such Deed of Trust (the "Loan"), including, without limitation those items set forth in
<br />Schedule A attached hereto and made a part hereof and all other rights and remedies of the
<br />undersigned in connection with the Loan, whether provided by contract or otherwise available
<br />under applicable law or in equity, including without limitation, all rights and remedies provided
<br />under any loan agreements, indemnities or other instruments or documents made, issued or
