200302817 <br />"MSRB "), to the SID (if any) and to any nationally recognized municipal securities information repository <br />for which the Underwriter makes request, notice of the occurrence of any of the following events with respect <br />to the Building Bonds, if in thejudgmenl of the Lessee, such event is material: <br />(1) principal and interest payment delinquencies, <br />(2) non- payment related defaults, <br />(3) unscheduled draws on debt service reserves reflecting financial difficulties, <br />(4) unscheduled draws on credit enhancements reflecting financial difficulties, <br />(5) substitution of credit or liquidity providers, or their failure to perform, <br />(6) adverse tax opinions or events affecting the tax - exempt status of the <br />Building Bonds, <br />(7) modifications to rights of the registered owners of the Building Bonds, <br />(8) bond calls, <br />(9) defeasances, <br />(10) release, substitution, or sale of property securing repayment of the Building <br />Bonds and <br />(11) rating changes, if any. <br />Such undertaking is expressly declared to be for the benefit of the registered owners of the Building Bonds <br />(including beneficial owners as referred to in the Indenture) acrd such covenants may be enforced by the <br />registered owner of any of the Building Bonds or by any beneficial owner of the Building Bonds, provided <br />that any right to enforcement shall be limited to specific enforcement of such covenants and any failure shall <br />not constitute an event of default under this Lease-Purchase Agreement or the Indenture. The Lessee hereby <br />designates the College Area President of the Lessee as the contact person from whom the foregoing <br />information, data and notices can be obtained. <br />ARTICLE VI <br />IMPOSITIONS <br />Lessee shall pay all taxes and assessments on or with respect to the Project of any sort <br />whatsoever which become due or payable or are assessed during the term of this Lease- Purchase Agreement, <br />including all water and sewer charges, assessments and other governmental charges and impositions <br />whatsoever, foreseen and unforeseen, against the Project (all of which are herein called `impositions "). <br />Lessor shall promptly forward to Lessee any notice, bill or other advice received by Lessor concerning any <br />impositions. <br />
