M 2 �° 03 ti Z F S ti n v s rn ° M 3 r y � CD W LD v CD Z o 200302817 LEASE - PURCHASE AGREEMENT (Irustee's Original) 'PHIS LEASE - PURCHASE AGREEMENT, made and entered into as of the first clay of March 2003, by and between CEN "1'RAL COMMUNITY COLLEGE FACILITIES CORPORATION, a not for profit corporation duly organized and existing under the laws of the State of Nebraska (the "Lessor"). and the CENTRAL COMMUNITY COLLEGE AREA in the State of Nebraska (the "Lessee" or the "College "), WITNESSETH: That Lessee is a community college area and a body corporate governed by the Community College Board of Governors for the Central Community College Area (the `Board ") and organized and existing under Article 15, Chapter 85, R.R.S. Neb. 1999 with full, lawful power and authority to enter into this Lease - Purchase Agreement, as a purchase on contract pursuant to the authority granted by Section 85 -1511, R.R.S. Neb. 1997, for which approval has been received from the Coordinating Commission for Postsecondary Education; Lessee owns and operates certain educational facilities (the "Facilities ") located in Hall County, Nebraska, and desires to acquire a building to be located on the land (the "Sim ") described in Exhibit A hereto attached, which is by such reference incorporated herein, for use as an addition to the Facilities to provide space fa- administrative offices (the "Project") and has by separate instrument granted Lessor an wscment for construction, location, maintenance and operation of the Project on the Site; Lessor has been organized and exists for the purpose of acquiring and improving real and personal property for use by the College in connection with its educational programs; Lessor and Lessee have agreed upon the terms of a Lease- Purchase Agreement to provide for the acquisition of the Project and said agreement should be reduced to writing, the following words and phrases used in this Leasc- Purchase Agreement to have the following meaning, unless the context or use indicates another or different meaning or intent: "Bond Fund" shall mean the Fund created by Article V of Indenture into which basic rentals payable under this Lease - Purchase Agreement shall be deposited. "Bonds" or "Building Bonds" shall mean the Building Bonds (Grand Island Adminisnative Addition Project), Series 2003, issued by Lessor pursuant to the Indenture to provide funds for construction and acquisition by Lessor of the Project'.
