<br />KNOW BY ALL MEN THESE PRESENTS, thafPrincipal Residential Mortgage Inc., ("Assignor") for good and
<br />valuable consideration to it in hand paid by the Bank of New York, as Trustee for the Certificateholders of
<br />CWMBS Series 2004-RI, ("Assignee"), the receipt of which consideration is hereby acknowledged, does hereby
<br />assign, transfer and set over unto Assignee all its rights, title and beneficial interest in and to that Deed of Trust
