<br /> �d Gr��d Island PH, �nc. ("Assiga�ce"), with refer�en�e to thc following

<br /> A. Pursuant to thAt cext�in L,eBSe Agrc�ment dated IVovember 08,
<br /> 197b a�id as ar�ended �uly 28, 1977 and JunC 03, 1992, ivotween KWM
<br /> Company as L.e�sor, and Assignor, as I.�s�e (the "I.case"), Lessee leased
<br /> cer�ain premis�s in . the City of Gramd I�aad, State of I1Tebraska, covering
<br /> the pr�perty commonly known as 1608 S, I.ocust Street, aod as more fully
<br /> describe� in th� Lease and description attacbod he.z.a as Exhibit "A" (the
<br /> "Le�sed �remises") from I.eas.o�.
<br /> �. Assignor has agrced to trans�er aod assign to Assignee all of
<br /> Assignor's ri$ht, title, and i�t,erest as L,essce under the Lease anc�, subject
<br /> to the codditions set fortb in this A�sig�n�at, Assign�e hag agreed to
<br /> acccpt th� Assi�nment of sucb rigbt, t�tie, aod interest and to assume the
<br /> obligstions of Assignor uttder the I.ease,
<br /> ]�TOW, T`HEREFORE, in consideratio� of the covenants and agreements
<br /> cvntained berein, Assigoor and t�ssignee agree as follows:
<br /> 1 . The effective date of this Agree�ent and the assignment
<br /> effected hereby is March L, 1995 (the "Effective Date").
<br /> 2. Assignor hereby grants, conveys, assigns, and transfers to
<br /> Assignee, all of Assignox's right, tiele, ,and interest as Lessee uader the
<br /> Lease, including, vvithout limitation, any right to extend the term of tne
<br /> Lease. �ssignor furth�r conveys, transf�rs, and assigns to Assignee all of
<br /> Assxgnor's right, title and i�teres� in and to any aad all improvements
<br /> presently located on the Leased Fremises and all easements and
<br /> app�rtenances in favor of or beoefit;ing the Leased Premises. Assignor
<br /> agr�es to indemnify and hold Assignee h�rmless against any claim,
<br /> l�ability, loss, or expense (including reasonlble atcorneys' fees) incurred by
<br /> Ass�gnee as a result of Assignor's fauilure, pnior to the effective date, to
<br /> perform its vbligations as tenant ur�der thc Lease.
<br /> 3. �ssignee hereby accepts the foreg�iag assigr�ment and assumes
<br /> and agrees to perform aad abserve a11 of the covenants and obligations of
