200412422 <br />and other documents as Mortgagee may require to evidence the Mortgagor's full assumption of <br />performance and liability under this Mortgage and the Loan Documents related to this <br />Mortgage; (iii) no event of default shall have occurred; and (iv) the Borrower shall pay and <br />reimburse to the Mortgagee all costs and expenses occasioned by the transfer of the <br />Mortgaged Premises and the assumption referenced herein, including, but not limited to, legal <br />fees, any recording costs, costs of title work and title insurance costs. <br />1.4 Insurance. Until the Indebtedness is fully paid, the Improvements and all fixtures, <br />equipment and property therein contained or installed shall be kept unceasingly insured against loss and <br />damage by such hazards, casualties and contingencies in such amounts and for such periods as may <br />from time to time be reasonably required by Mortgagee and commercially reasonable for properties of <br />a like nature. All insurance shall be written in policies and by insurance companies approved by <br />Mortgagee. All policies of insurance and renewals thereof shall contain standard noncontributory <br />mortgagee loss payable clauses to Mortgagee and shall provide for at least thirty (30) days prior written <br />notice of cancellation to Mortgagee as well as a waiver of subrogation endorsement, all as required by <br />Mortgagee, in form and content reasonably acceptable to Mortgagee. All policies (or duplicate certified <br />copies or certificates thereof) shall, with all premiums fully paid, be delivered to Mortgagee as issued at <br />least thirty (30) days before the expiration of existing policies and shall be held by Mortgagee until all <br />sums hereby secured are fully paid. Upon request by Mortgagee, Mortgagor shall furnish Mortgagee <br />evidence of the replacement cost of the Improvements. In case of sale pursuant to a foreclosure of this <br />Mortgage or other transfer of title to the Premises and extinguishment of the Indebtedness, complete <br />title to all policies, other than liability insurance policies, held by Mortgagee and all prepaid or unearned <br />premiums thereon shall pass to and vest in the purchaser or grantee. Mortgagee shall not by reason of <br />accepting, rejecting, approving or obtaining insurance incur any liability for payment of losses. At least <br />ten (10) days prior to the termination of any such coverage, Mortgagor shall provide Lender with <br />evidence satisfactory to Lender that such coverage will be renewed or replaced upon termination with <br />insurance that complies with the provisions of this Section. Mortgagor, at its sole cost and expense, <br />from time to time when Lender shall so request, will provide Lender with evidence, in a form <br />acceptable to Lender, of the full insurable replacement cost of the Mortgaged Property. All property <br />and liability insurance policies maintained by Mortgagor pursuant to this Section shall (i) include <br />effective waivers by the insurer of all claims for insurance premiums against Lender, and (ii) provide that <br />any losses shall be payable notwithstanding (a) any act of negligence by Mortgagor or Lender, (b) any <br />foreclosure or other proceedings or notice of foreclosure sale relating to the Mortgaged Property, or <br />(c) any release from liability or waiver of subrogation rights granted by the insured. All insurance <br />policies maintained by Mortgagor pursuant to the foregoing provisions shall respond on a primary basis <br />relative to any other insurance carried by Lender in the event of loss. Insurance terms not otherwise <br />defined herein shall be interpreted consistent with insurance industry usage. <br />1.5 Taxes, Liens and Claims, Utilities. Mortgagor, at least five (5) days before any penalty <br />attaches thereto, shall pay and discharge, or cause to be paid and discharged, all taxes, assessments <br />and governmental charges and levies (collectively "Impositions ") imposed upon or against the <br />Dcccmbcr 22, 2004 <br />F: \Data\21590 \Mortgagc008.wpd <br />
