This Mortgage <br />secures an obligation incurred for the construction of an improvement on land and is a Construction <br />Security Interest within the meaning of Neb. Rev. Stat. Section 52 -127. <br />5.10 Limited Recourse. Notwithstanding anything to the contrary herein, prior to completion <br />of the exchange in performance of the Exchange Agreement: <br />5.10.1 Mortgagee hereby waives any right to obtain a money judgment against SEC <br />Accommodator XXIX, LLC, (referred to in this section as the "Exchange Entity') and any and <br />all members, shareholders, partners and employees of the Exchange Entity, whether by an <br />action under the terms, conditions, covenants, representations or warranties of this Mortgage, <br />the Note, or any other Loan Documents, or an action brought for a deficiency judgment against <br />the Exchange Entity and/or the members, shareholders, partners and employees of Exchange <br />Entity, and agrees that the extent of liability on the part of such parties with respect to this <br />Mortgage and any other loan document is and shall for all purposes be limited to the interest of <br />Exchange Entity in the Land, including policies of hazard insurance on the Land and any <br />proceeds thereof and any award of damages on account of condemnation for public use of the <br />Land, Mortgagee agreeing to look solely to Exchange Entity's interest in the Land and such <br />insurance polices and condemnation awards in satisfaction of all obligations. The foregoing <br />waiver shall pertain to the Exchange Entity and its members, shareholders, partners and <br />employees only, and to no other mortgagor or borrower. <br />5.10.2 This Section shall not release, reduce, hinder or modify in any respect the <br />liability of the Borrower, and the Borrower shall be and remain fully liable and obligated under <br />the Note, the Loan Agreement, and all other documents and agreements incident or related to <br />this Mortgage. <br />December 22, 2004 17 <br />F: \Data\21590 \Mortgagc008.wpd <br />
