<br />THIS ASSIGNMENT OF LEASE ( "Assignment ") is made to be effective as of the -� (5�
<br />day of December, 2004 (the "Effective Date "), by WILMINGTON TRUST COMPANY, a Delaware
<br />corporation, not in its individual capacity but solely as Trustee of SUNWEST N.C. TRUST, a
<br />Delaware statutory trust ( "Assignor "), whose address is 17776 Preston Road, Suite 100, Dallas,
<br />Texas 75252, to RAINIER SUNWEST PORTFOLIO I, L.P., a Texas limited partnership
<br />( "Assignee ") whose address is 14001 Dallas Parkway, Suite 1105, Dallas, Texas 75240.
<br />RECITALS
<br />A. Assignor is the lessee under a certain lease as described in Exhibit "A" attached
<br />hereto and incorporated herein by this reference (as amended, modified and/or extended to date, the
<br />Lease "), which covers certain premises, improvements and personal property located on and/or used
<br />in connection with the land, as more particularly described on Exhibit `B" attached hereto (the
<br />"Premises ").
<br />B. Assignor desires to assign the Lease to Assignee, and Assignee desires to accept an
<br />assignment of the Lease.
