<br /> 3. Estoppel. Tenant certifias that (a) the I�ease is in -

<br /> has been pajd morc� than thirty (30) days in advance of its d�e ��
<br /> • date; (c) Tenant, as of �he date hereof, has no charqe, li.en or `—
<br /> . right or claim of offset or counterclaim under the Leas�, or ��==-
<br /> otherwise, against the Xents or other amounts due or to become `� �
<br /> � due thereunder; (d) all obliga�ions of Borrower rela�inq to ' F_
<br /> construction of the Premises or any improvement thereof have b�en _
<br /> fully perfarmed; (e) there are no unsatisfied conditions t� 'k,
<br /> Tenant�s abligations under the Lease; (f) Tenant tias uncondi-
<br /> ,. � � tionally accepted passession of and entered into occupancy of the
<br /> Premises; and (g) there has been no sublease by Tenant o£ the
<br /> Premises or other assignment of any portion of `renant's rights or
<br /> interests under �he Lease to any party.
<br /> ' 4. Subordination. Subject to the terms and provisions �
<br /> � hereinaft�r set forth, Tenant hereby agrees that al]. Tonant's C
<br /> s right, title and interest in and under the Lease are and shall at
<br /> . all tim�s continue to be subject and subordinate to the rights of
<br /> . Lender under the Loan Tnstrurnents, in the same manner and to the
<br /> same ex�ent as if the Lease were executed subsequent to the !
