<br />PLEASE TAKE NOTICE that the Claim of Lien, designated as "Notice of Filing
<br />Construction Lien ", recorded as Instrument No. 0200309193, on July 18, 2003, Official Records
<br />of Hall County, State of Nebraska (hereinafter referred to as "Claim of Lien "), by Power
<br />Engineers, Inc., and its successors and assigns (hereinafter collectively referred to as "Power
<br />Engineers "), with respect to the right, title, interest, lien, easement, franchise rights, use rights or
<br />permits owned or held by (i) Touch America, Inc. and its parents, subsidiaries, associated and
<br />allied companies and affiliates and their respective property (tangible or intangible, real, personal
<br />or mixed), officers, directors, employees, agents, successors and assigns (hereinafter collectively
<br />referred to as "Touch America ") and/or (ii) AT &T Corp., AT &T Communications of the
<br />Midwest, Inc. and their parents, subsidiaries, associated and allied companies and affiliates and
<br />their respective property (tangible or intangible, real, personal or mixed), officers, directors,
<br />employees, agents, successors and assigns (hereinafter collectively referred to as "AT &T ") in the
<br />fiber optic telecommunications systems constructed or to be constructed, directly or indirectly, as
<br />the case may be, for (or for the benefit of) Touch America and/or AT &T, including without
<br />limitation those portions extending between the following locations: Billings, Montana and
<br />Seattle, Washington; Denver, Colorado and Chicago, Illinois; Chicago, Illinois and the
<br />Illinois /Wisconsin border and 1425 Champa in Denver, Colorado and the Touch America point
<br />of presence at 112th and Havana in Colorado (the "Projects ") and the following property: All
<br />property and improvements upon which Power Engineers furnished labor and/or materials in
<br />connection with the Projects, including without limitation that certain real property located in the
<br />County of Hall, State of Nebraska, and more particularly described as follows:
<br />See attached Exhibit A, together with the underground fiber optic
<br />conduit system running across said real property
<br />is hereby unconditionally, fully and finally released as follows: Power Engineers, for
<br />itself, and to the extent lawfully permitted, its employees, lower -tier subcontractors,
<br />materialmen, suppliers and all other persons and entities who furnished labor, material or other
