200411745 <br />10+7G MEMORANDUM OF ASSIGNMENT OF GROUND LEASE � Q 1( I � E <br />This Memorandum of Assignment of Ground Lease (this "Memorandum ") is made this 9th day of <br />November, 2004 (the "Effective Date ") by and between iPCS WIRELESS, INC., a Delaware <br />corporation and successor by merger to Illinois PCS, L.L.C., an Illinois limited liability company (the <br />"Assignor "); and TCP COMMUNICATIONS LLC, a Delaware limited liability company (the <br />"Assignee ") (the Assignor and the Assignee, collectively, the "Parties "). <br />1. On or about March 27, 2001, the Assignor, as the Lessee, and Robert J. Samuelson and <br />Marlene K. Samuelson, as the Lessor (the "Lessor "), entered into a Ground Lease Agreement (the <br />"Ground Lease ") with respect to the Real Property (as defined below). <br />2. In connection with the execution of the Ground Lease, the Assignor and the Lessor <br />entered into a written Memorandum of Ground Lease, on or about March 27, 2001, which was recorded <br />on October 11, 2001 in the Hall County Register of Deeds Office, State of Nebraska, as Instrument <br />Number 200110247. <br />3. On and as of the Effective Date, the Parties entered into an Assignment and Assumption <br />of Ground Lease (the "Assignment "), pursuant to which the Assignor assigned and transferred to the <br />Assignee, and the Assignee assumed from the Assignor, all of the Assignor's right, title, and interest in <br />and to the Ground Lease. <br />4. The term of the Ground Lease is five (5) years, renewable at the option of the tenant for <br />ten (10) additional five (5) year renewal periods. The initial term of the Ground Lease commenced on or <br />about August 27, 2001 (the "Commencement Date "). If all options to renew are exercised, the term of the <br />Ground Lease will expire on or about August 26, 2056. <br />5. The land which is the subject of the Assignment is described as follows: Part of Tax <br />Parcel ID Number 400236958 also known as South of 14425 South Highway 281, Doniphan, Nebraska, <br />as more particularly described in the property descriptions attached to this Memorandum as Exhibit A <br />(the "Real Property "). <br />6. It is the intention of this instrument to give notice of the Assignment and it is not <br />intended to supersede, diminish, add to or change any of the terms and conditions of the Assignment.
