200411745 10+7G MEMORANDUM OF ASSIGNMENT OF GROUND LEASE � Q 1( I � E This Memorandum of Assignment of Ground Lease (this "Memorandum ") is made this 9th day of November, 2004 (the "Effective Date ") by and between iPCS WIRELESS, INC., a Delaware corporation and successor by merger to Illinois PCS, L.L.C., an Illinois limited liability company (the "Assignor "); and TCP COMMUNICATIONS LLC, a Delaware limited liability company (the "Assignee ") (the Assignor and the Assignee, collectively, the "Parties "). 1. On or about March 27, 2001, the Assignor, as the Lessee, and Robert J. Samuelson and Marlene K. Samuelson, as the Lessor (the "Lessor "), entered into a Ground Lease Agreement (the "Ground Lease ") with respect to the Real Property (as defined below). 2. In connection with the execution of the Ground Lease, the Assignor and the Lessor entered into a written Memorandum of Ground Lease, on or about March 27, 2001, which was recorded on October 11, 2001 in the Hall County Register of Deeds Office, State of Nebraska, as Instrument Number 200110247. 3. On and as of the Effective Date, the Parties entered into an Assignment and Assumption of Ground Lease (the "Assignment "), pursuant to which the Assignor assigned and transferred to the Assignee, and the Assignee assumed from the Assignor, all of the Assignor's right, title, and interest in and to the Ground Lease. 4. The term of the Ground Lease is five (5) years, renewable at the option of the tenant for ten (10) additional five (5) year renewal periods. The initial term of the Ground Lease commenced on or about August 27, 2001 (the "Commencement Date "). If all options to renew are exercised, the term of the Ground Lease will expire on or about August 26, 2056. 5. The land which is the subject of the Assignment is described as follows: Part of Tax Parcel ID Number 400236958 also known as South of 14425 South Highway 281, Doniphan, Nebraska, as more particularly described in the property descriptions attached to this Memorandum as Exhibit A (the "Real Property "). 6. It is the intention of this instrument to give notice of the Assignment and it is not intended to supersede, diminish, add to or change any of the terms and conditions of the Assignment. All of the terms, conditions, and provisions of the Assignment are incorporated into this Memorandum to the same extent as if set forth at length.
