<br />FOR VALUE RECEIVED, the receipt and sufficiency of which is hereby acknowledged, each of the
<br />undersigned (collectively, the "Assignor") hereby assign to WELLS FARGO BANK, NATIONAL
<br />ASSOCIATION ( "Bank "), as security pursuant to the terms hereof and of any pledge or security
<br />agreement executed by Assignor in connection with or evidencing the assignment referenced herein, all
<br />right, title and interest of Assignor in and to that certain promissory note dated as of May 19, 2004,
<br />executed by Charles D. Bosselman and Janet K. Bosselman, husband and wife, as makers, and
<br />payable to Assignor, or order, for the benefit of Darryl D. Bockmann and Diane Bockmann, husband and
<br />wife, in the principal amount of SIX HUNDRED THIRTY -SEVEN THOUSAND SIX HUNDRED FIFTY AND
<br />00/100 DOLLARS ($637,500.00) (the "Note "), together with all right, title and interest of Assignor in, to
<br />and under that certain Deed of Trust securing the Note, dated as of May 19, 2004, and executed by
<br />Charles D. Bosselman and Janet K. Bosselman, husband and wife, as Trustor, to Duane A. Burns,
<br />as Trustee, for the benefit of Assignor, which Deed of Trust was recorded on May 19 , 2004, as
<br />Instrument (Serial) No. 200405011 , in Book (Reel) , at Page (Image) , of the
<br />Official Records of Hall County, Nebraska (the "Deed of Trust "), with respect to the real property
<br />described on Exhibit A attached hereto and incorporated herein by this reference.
<br />In addition to all other obligations, responsibilities and undertakings of Assignor hereunder or under
<br />any above - described pledge or security agreement, Assignor covenants to Bank that Assignor will: (a)
<br />provide to Bank all evidence, including without limitation any policy of title insurance, required by Bank to
<br />verify the representations of Assignor as to the title to the property subject to the Deed of Trust; (b)
<br />ensure, at the direction of Bank, the maintenance of all reasonable and necessary insurance to protect
<br />the property subject to the Deed of Trust against loss by fire, flood or any other hazard of any nature; and
<br />(c) undertake all reasonable and necessary actions, including without limitation compliance with all
<br />requirements imposed by Bank, to ensure that the interest of Bank in the Note and the Deed of Trust
<br />pursuant to this Assignment is not impaired.
