RECITALS: WHEREAS, Trust is the owner of that property described on Exhibit A attached hereto and incorporated herein by reference (the "Trust Property "). Poland is the owner of the adjacent property described on Exhibit B attached hereto and incorporated herein by reference (the "Poland Property "). The Trust Property and the Poland Property are sometimes referred to individually as the "Property" and collectively, the "Properties." Trust has agreed to grant Poland (a) the rights of pedestrian and vehicular ingress, egress and regress over the roadways now, or hereafter located on the Trust Property as generally depicted on Exhibit D hereto, and Poland has agreed to grant Trust the rights of pedestrian and vehicular ingress, egress and regress over the roadways now, or hereafter located on the Poland Property as generally depicted on Exhibit D hereto. The location of such easements is more particularly described on Exhibit C attached hereto and incorporated herein by reference (the "Easement Area "). WHEREAS, Poland has agreed to grant to Trust an easement for the construction of an access road and any related traffic - control signs and devices (the "Access Road ") on, above and below the Trust Easement Area (as defined below), subject to the terms and conditions hereinafter set forth.
