<br />WHEREAS, the undersi ned, Gary R. Jacobson, as Lessor, entered into a certain
<br />Lease, dated 3, 2004, which Lease named Mr. G's Car Care Center,
<br />Inc., as the Lessee and covers the following described real estate:
<br />See Exhibit "A" attached hereto
<br />hereinafter referred to as the "Lease."
<br />WHEREAS, the Lease prohibits the assignment, transfer, or encumbrance of the Lease
<br />without the written consent of the Lessor
<br />NOW, THEREFORE, in consideration of one dollar ($1.00) and other valuable
<br />consideration, the undersigned Lessor hereby consents to the assignment, transfer, and
<br />encumbrance of the Lease to the Nebraska Economic Development Corporation.
