<br />NOW, THEREFORE, I Arend R. Baack, Master Commissioner, in consideration
<br />of the premises and by virtue of the powers vested in me by law and the Decree of said
<br />Court, do hereby give, grant, and convey to Manufacturers & Traders Trust Company,
<br />One M & T Plaza, Buffalo, New York, 14203 -2399, Trustee for Securitization Series
<br />1998 -1, Agreement dated 3- 01 -98, its successors and assigns, the premises so as
<br />aforesaid sold, to wit:
