This MEMORANDUM OF LEASE is made and executed this 24th day of April, 2004, by
<br />Jack D. O'Hara and Deanne L. O'Hara, ( "Lessor ") and Hamilton Wireless, Inc., a Nebraska
<br />corporation, ( "Lessee ").
<br />WHEREAS, Lessor owns the real estate generally located at 3230 West Old Highway 30,
<br />Grand Island, Hall County, Nebraska, together with all improvements located thereon (hereinafter
<br />referred to as the "Property"), which Property is legally described in Exhibit A; and
<br />WHEREAS, the Property is encumbered by a Lease Agreement dated April 24, 2004, by and
<br />between Lessor and Lessee (the "Lease "); and
<br />WHEREAS, the initial term of the Lease commenced during 2004 and will expire in 2008
<br />and includes options to renew the lease for Two (2) successive two (2) year periods.
<br />NOW THEREFORE, Lessor and Lessee hereby execute this Memorandum of Lease for the
<br />purpose of acknowledging the parties' respective interests in, and rights and obligations under, the
<br />Lease and recording the same in the office of the Register of Deeds of Hall County, Nebraska.
<br />This Memorandum of Lease is subject in each and every respect to the rents and other terms,
<br />covenants and conditions of the Lease between the parties hereto. This Memorandum of Lease is
<br />executed and delivered with the understanding and agreement that the same shall not in any manner
<br />or form whatsoever, alter, modify or vary the rents and other terms, covenants and conditions of the
<br />Lease.
<br />IN WITNESS WHEREOF, the undersigned have caused this Memorandum of Lease to be
<br />executed as of the date first written above.
