Buyer shall pay the balance of the owner' s title insurance <br /> expense, the full lender' s title insurance expense, if any, <br /> all recording fees except those necessary to clear title, and <br /> any loan application or financing fees concerning the property <br /> and its intended use by Buyer. <br /> 9• REPORTING REQUIREN�NT: Parties acknowledge and agree that a <br /> Form 10995 shall be filed with the Internal Revenue Service by the <br /> Escrow Agent, reporting the identity of the Seller, a general <br /> description of the real estate involved, the date of the closing <br /> and the amount of the total consideration and further, each party <br /> declares under penalties of perjury that the identification numbers <br /> shown herein with their signature is true and correct. <br /> 10. REPRESENTATIONS AND WARRANTIES: <br /> 10 . 1 REpRESENTATIONS AND WARRANTIES OF SELLER. Seller represents <br /> and warrants to Buyer as follows : <br /> 10 . 1 . 1 AUTHORITY RELATIVE TO AGREEMENT. This Agreement has <br /> been duly executed and delivered by Seller and constitutes a <br /> legal, valid and binding obligation of Seller, enforceable <br /> against Seller in accordance with its terms, except as the <br /> same may be limited by bankruptcy, insolvency, reorganization <br /> or other laws affecting the enforcement of creditor' s rights <br /> generally, or by judicial discretion in connection with the <br /> application of equitable remedies. Seller is the owner of the <br /> Property and no other persons have any interest in such real <br /> estate, except as set forth in this Agreement. <br /> 10.2 REpRESENTATIONS AND WARRANTIES OF BUYER. Buyer represents and <br /> warrants to Seller as follows : <br /> 10.2 . 1 AUTHORITY RELATIVE TO AGREEMENT. The Property has not been used at any time by any person <br /> as a landfill or waste disposal site.
