This Trust Deed shall be governed by the <br /> laws of the State of Nebraska. The provisions of this Trust Deed <br /> shall be in addition to and shall supplement the Nebraska Trust <br /> Deed Act . If any provision or clause of the Note and Trust Deed <br /> are declared to be unconstitutional or illegal, invalid or <br /> unenforceable, it shall be deemed to be separate and severable <br /> from the rest of the provisions, and the intent is that the <br /> remaining portions of the document will remain in full force and <br /> effect . This instrument cannot be waived, changed, discharged or <br /> terminated orally, but only by an instrument in writing signed by <br /> the party against whom enforcement of any waiver, change, <br /> discharge or termination is sought . <br /> K. Prohibitions . Without the prior written consent of <br /> Trustee, Borrower shall not, directly or indirectly with respect <br /> to any lease space: (a) accept or permit any prepayment, <br /> discount or advance rent payable thereunder; (b) cancel or <br /> terminate the same or accept the cancellation, termination or <br /> surrender thereof, or permit any event to occur which would <br /> entitle the lessee thereunder to terminate or cancel same; (c) <br /> amend or modify the same so as to reduce the term thereof, the <br /> rental payable thereunder, or to change any renewal provisions <br /> therein contained; (d) give any consent, waiver, or approval <br /> thereunder or take any other action in connection therewith, or <br /> with a lessee thereunder, which would have the effect of <br /> impairing the value of lessor' s interest thereunder, or the <br /> property subject thereto, or of impairing the position or <br /> interest of the Lender; (e) sell, assign, pledge, mortgage or <br /> otherwise dispose of or encumber its interest in any such lease <br /> or any rents, issues or profits issuing or arising thereunder; or <br /> (f) waive any default thereunder or any breach thereof . <br /> L. Interchangeable Terms . As used herein, Trust Deed means <br /> the same as Deed of Trust; Note means the same as Trust Note or <br /> Deed of Trust Note or Promissory Note; and that said words are <br /> used interchangeability herein. The term "Trustor�' and <br /> "Borrower" shall include both the singular and plural, and when <br /> the Trustor and Borrower are the same person(s) , those terms as <br /> used in this Trust Deed shall be interchangeable. <br /> M. Other pocuments . The undersigned has also executed <br /> other Loan Instruments simultaneously with the Trust Note and <br /> this document . The undersigned agrees that said Loan Instruments <br /> survive the closing, and that a default violation of any one <br /> document is a default or violation of all documents, and that as <br /> a result thereof, this Trust Deed can be foreclosed or a default <br /> can be declared. <br /> N. Real Estate. The parties agree that the real estate is <br /> titled only in the name of Mid-Country Trading, L.L.C. , a <br /> Nebraska limited liability company. <br /> O. Liens and Encumbrances . Trustor hereby warrants and <br /> represents that there is no default under the provisions of any <br /> mortgage, trust deed, lease or purchase contract describing all <br /> or any part of the Property, or other contract, instrument or <br />; agreement constituting a lien or encumbrance against all or any <br /> ipart of the Property (collectively, ��Liens" ) , existing as of the <br />, date of this Trust Deed, and that any and all existing Liens <br /> remain unmodified except as disclosed to Lender in Trustor� s <br /> written disclosure of liens and encumbrances provided for herein. <br /> Trustor shall timely perform all of Trustor' s obligations, <br /> covenants, representations and warranties under any and all <br /> existing and future Liens, shall promptly forward to Lender <br /> copies of all notices of default sent in connection with any and <br /> all existing or future Liens, and shall not without Lender' s <br /> prior written consent in any manner modify the provisions of or <br /> allow any future advances under any existing or future Liens . <br /> I 12 � <br />
