<br /> THIS TRUST DEED WITH FUTURE ADVANCES (hereinafter ��Trust G
<br /> Deed" ) is made this � day of September, 1999, by and between:
<br /> Mid-Country Trading, L.L.C. , a Nebraska limited liabiltiy
<br /> company, the Trustor, (hereafter "Trustor" ) whose mailing address
<br /> is : c/o O' Connor Enterprises, Inc. , 422 South Gunbarrel Road,
<br /> Grand Island, NE 68801
<br /> the Trustee, National Bank of Commerce Trust and Savings
<br /> Association, Lincoln, Nebraska, (hereinafter "Trustee" ) , whose
<br /> mailing address is P.O. Box 824�8, Lincoln, Nebraska 68501
<br /> and the Beneficiary, National Bank of Commerce Trust and Savings
<br /> Association, Lincoln, Nebraska, whose mailing address is P.O. Box
<br /> 82408, Lincoln, Nebraska, 68501 (hereinafter "Lender") .
<br /> FOR VALUABLE CONSIDER.ATION, including the indebtedness
<br /> identified herein and the trust herein created, the receipt of
<br /> which is hereby acknowledged, Trustor hereby irrevocab�y grants,
<br /> transfers, conveys and assigns to Trustee, IN TRUST, WITH POWER
<br /> OF SALE, for the benefit and security of Lender, under and
<br /> subject to the terms and conditions hereinafter set forth, the
<br /> real property, described as follows (the "Property") :

<br /> located at the southwest corner of Hwy 281 and 13t'' Street in
<br /> Grand Island, Nebraska, (herein "Property Address" ) , together
<br /> with all buildings, improvements, fixtures, streets, alleys,
<br /> passageways, easements, rights, privileges and appurtenances
<br /> located thereon or in anywise pertaining thereto, and the rents,
<br /> issues and profits, reversions and remainders thereof; all
<br />; proceeds of the conversion voluntary or involuntary, or any of
<br /> the foregoing into cash or liquidated claims, including, without
<br /> limitation, proceeds of insurance and condemnation awards; and
<br /> such personal property that is attached to the improvements so as
<br /> to constitute a fixture, including, but not limited to, heating
<br /> and cooling equipment, all of which, including replacements and
<br />� additions thereto or the leasehold if this Trust Deed is on a
<br /> leasehold, is hereby declared to be a part of the real estate
<br /> secured by the lien of this Trust Deed and all of the foregoing
<br /> being referred to herein as the "Property" or "Trust Estate" .
<br /> FOR THE PURPOSE OF SECURING:
<br /> A. The payment of indebtedness in the total principal amount
<br /> of ONE MILLION FIVE HUNDRED SIXTY THOUSAND AND NO/100THS DOLLARS
<br /> ($1, 560, 000 . 00) , with interest thereon, as evidenced by that
<br /> certain Trust Note of even date (the "Note") , with a maturity
<br /> date of October 1, 2009, executed by Mid-Country Trading, L.L.C. ,
<br /> a Nebraska limited liability company, which is hereafter referred
<br /> to as "Borrower�� , which has been delivered and is payable to the
<br /> order of Lender, and which by this reference is hereby made a
<br /> part hereof, and any and all modifications, extensions, and
<br /> renewals thereof or thereto and any and all future advances and
