200403826 the Building, except as and to the fullest extent that title thereto may be retained under applicable law, Vendor and Purchaser hereby agree that title shall transfer to and be in the Purchaser from and after such incorporation. The term of this Contract for Purchase shall commence as of the time of the execution and delivery of this Contract and continue until and including March 1, 2011. Until payment in full of all obligations hereunder the Project, except the Accessions, shall remain the property of the Vendor and shall not become a part of the real estate described on Exhibit A hereto attached. Vendor and Purchaser acknowledge and agree that, as and to the extent that this Contract for Purchase may be regarded as relating to goods, goods which may become fixtures, fixtures or equipment, this Contract for Purchase as assigned to the Trustee may constitute a "finance lease" within the meaning of such term as used in Article 2A of the Nebraska Uniform Commercial Code. In such connection Purchaser acknowledges (a) that neither Vendor nor the Trustee has selected, manufactured or supplied any goods constituting the Project, (b) that Vendor is acquiring the Project in connection with this Contract for Purchase, and (c) that Purchaser has received a copy of the contract with any contractor or supplier constructing or supplying such part of the Project prior to the execution of this Contract for Purchase. Purchaser further acknowledges that Purchaser has been informed in writing before the execution of this Contract for Purchase that Purchaser may be entitled under said Article 2A to the promises and warranties provided by such contractor and any other person supplying the Project or items incorporated therein and that Purchaser may communicate with any such person and obtain a complete and accurate statement of any such promises and warranties, including any disclaimers and limitations of them or of remedies. Section 1.3. Purchaser acknowledges that it has supplied Vendor with the specifications for the Project and hereby holds Vendor and the Trustee harmless against any claim by way of infringement or the like that arises out of compliance with such specifications. Section 1.4. Only that copy of this Contract for Purchase which is labeled as "TRUSTEE'S ORIGINAL" shall constitute this Contract for Purchase. Duplicate Originals may be prepared and executed for the convenience of the parties only. ARTICLE II BASIC PAYMENTS Section 2.1.
