<br />Central Community College Area, in the State of Nebraska, ( "Grantor ") hereby grants a
<br />license and easement to Central Community College Area Facilities Corporation ( "Grantee ") with respect to
<br />the tract of real estate located in Hall County, Nebraska, which is described on Exhibit A hereto attached
<br />and incorporated by reference herein, for the construction, location and operation of improvements, goods
<br />which are to become fixtures, fixtures and equipment in that existing building located on such tract, for
<br />which the outline is shown on the diagram included as part of Exhibit A hereto, all of property which is to
<br />be sold by Grantee to the Grantor pursuant to a Contract for Purchase dated as of April 1, 2004. Such
<br />license and easement shall include full access and use thereof by Grantee and its licensees and invitees and
<br />shall permit all actions necessary or incidental to the construction, operation and maintenance of such
<br />improvements and equipment in such building. All improvements and equipment upon said real estate
<br />financed from the proceeds of Grantee's Building and Equipment Bonds (Grand Island Distance Learning
<br />Project), Series 2004, are hereby acknowledged to be the separate property of the Grantee, as and to the
<br />extent provided for in said Contract for Purchase. This license and easement shall continue until March 1,
<br />2011.
<br />Grantor hereby covenants and warrants that it has full right, title and authority to grant the
<br />license and easement rights herein granted and further covenants and warrants that it will defend such rights
<br />in Grantee against the claims of all persons whomsoever.
